Our focus is to counsel owners and management on ways to maximize the growth potential, profitability and success of their business, while minimizing the risk of liability. We represent business clients in the formation, administration and, when required, the dissolution, of business entities. The Firm provides legal assistance to clients in connection with the purchase and sale of businesses, including the financing of those transactions. We also assist business clients in obtaining financing to meet their working capital needs. Our business practice includes negotiating and drafting of a variety of business contracts and agreements. In addition, the Firm is frequently retained to provide general counsel services to smaller, closely held businesses that require on-going legal supply but don't want to absorb the costs associated with hiring full time  in-house lawyer. We also counsel many of our smaller and family-owned business clients on issues relating to succession planning.

Our business clients often look to us to provide guidance on risk management and litigation avoidance. When necessary, we are available to assist clients with business-related disputes and commercial litigation matters in state and federal court, as well as efforts to resolve those disputes through mediation or other alternative dispute resolution means as well as in state and federal court.

Lender Representation:  The Law Office of Cheryl Gabes Rice, LLC provides a variety of services to lenders. Our lender representation practice includes negotiating and documenting commercial and asset-based credit facilities, loan workouts and restructurings, as well as handling a variety of loan-related litigation matters (including foreclosures, replevins, lender liability and other loan-related litigation) and collateral liquidations.
